Terms of Service

1. Acceptance of Terms

By accessing or using MBA Lab ("the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and MBA Lab. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service after any such modifications constitutes your acceptance of the modified Terms.

2. Description of Service

MBA Lab is a project management platform designed specifically for MBA teams. The Service enables users to:

• Create and manage projects and assignments
• Assign tasks and set due dates
• Collaborate with team members
• Organize and track project-related information

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must create an account using Microsoft Azure AD B2C authentication. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or inactivity.

4. Acceptable Use

4.1 Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may use the Service to:

• Manage legitimate academic or professional projects
• Collaborate with team members on authorized projects
• Organize and track project-related information

4.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Transmit any viruses, malware, or other harmful code
• Use automated systems (bots, scrapers) to access the Service without permission
• Impersonate any person or entity or misrepresent your affiliation
• Harass, abuse, or harm other users
• Collect or harvest information about other users without their consent
• Reverse engineer, decompile, or disassemble any part of the Service
• Circumvent or attempt to circumvent any security measures or rate limiting

5. User Content

5.1 Ownership

You retain ownership of all content, data, and information you create, upload, or submit through the Service ("User Content"). By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You have the right to submit the User Content
• Your User Content does not violate any third-party rights (including intellectual property, privacy, or publicity rights)
• Your User Content does not contain any illegal, harmful, or offensive material
• Your User Content complies with all applicable laws and regulations

5.3 Content Removal

We reserve the right, but not the obligation, to review, edit, or remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We may also remove User Content upon termination of your account.

6. Intellectual Property

The Service, including its original content, features, functionality, design, and software, is owned by MBA Lab and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. Service Availability and Modifications

We strive to provide reliable service but do not guarantee that the Service will be available at all times or free from errors, interruptions, or defects. We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time
• Perform maintenance that may temporarily interrupt service
• Implement rate limiting or other restrictions to ensure fair usage
• Make changes to features, functionality, or pricing

We are not liable for any loss or damage resulting from service interruptions or modifications.

8. Third-Party Services

The Service may integrate with or use third-party services, including:

• Microsoft Azure AD B2C: For user authentication
• Microsoft Azure Storage: For data storage
• Mailgun: For email communications
• Sentry: For error tracking and monitoring

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, secure, or error-free
• Any defects or errors will be corrected
• The Service is free from viruses or other harmful components

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MBA LAB AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers or your account
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless MBA Lab and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorney's fees) arising from:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property, privacy, or publicity rights
• Your User Content
• Any activity occurring under your account

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and User Content
• All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability

You may terminate your account at any time by contacting us or using account deletion features, if available.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MBA Lab operates, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration or in the courts of the applicable jurisdiction, as determined by applicable law.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MBA Lab regarding the use of the Service and supersede all prior agreements and understandings.
